Providence is actively exploring strategic options for Providence Health Plan, including its sale.
Providence CFO Greg Hoffman told caregivers the announcement reflects the challenges facing smaller, regional health plans that lack the scale of larger insurers, including the ability to share resources, spread costs and make ongoing investments in technology.
The review is part of health systems' "broader focus on delivering high-quality patient care and ensuring the long-term strength" of the organization, Hoffman said.
Providence had no further details on timing or potential partners and said it will provide updates as decisions are made.
PHP will continue to operate as usual during the review and will honor its existing contracts. The goal is uninterrupted coverage for members and continuity for providers and employer partners.
The health plan has an estimated 660,000 members.
The health plan reportedly lost more than $100 million last year, according to the Portland Business Journal. Providence Health Plan CEO Don Antonucci said that 2025 "was a tough year financially for the industry, for payers," the report said.
Regional health plans across the country are under increasing pressure from rising costs, including prescription drugs, constraints on premium affordability and significant technology demands. Providence said organizations with larger platforms can improve long-term stability and support innovation.
The sale is not a reflection of PHP's quality or the commitment of its caregivers, Hoffman said. PHP has served members for decades, receiving high marks in independent measures of quality and member experience.
"We're taking a thoughtful approach," said Hoffman. "Throughout this process, we will keep our caregivers, members, clinicians, providers and employer partners at the center of our decisions."
Providence, based in Renton, Washington, and Irvine, California, is a national, not-for-profit Catholic health system of 51 hospitals serving Alaska, California, Montana, New Mexico, Oregon, Texas and Washington.
